Terms of Service

1. Agreement & updates

By installing or using ActiveData, you agree to these Terms and to our Privacy Policy. We may update these Terms from time to time; the “Last updated” date below will change. Your continued use after an update means you accept the changes.

2. The Service

• What it does: pulls read-only metrics from your ActiveCampaign account and writes selected fields to your chosen Google Sheets.
• What it doesn’t do: it does not modify your ActiveCampaign data and does not store your sheet contents on our servers.
• Accounts & orders: features and pricing are set out on /pricing and in your checkout confirmation.

3. Eligibility & accounts

• You must be at least 18 and able to enter a binding contract.
• Keep your Google and ActiveCampaign credentials secure; you are responsible for actions taken using your credentials and within your add-on configuration.

4. Permissions & data access

• Google scope: https://www.googleapis.com/auth/spreadsheets to create and update cells in your chosen sheets.
• ActiveCampaign: API key or personal access token with read-only permissions for endpoints required to fetch metrics.
• Stored configuration: encrypted AC token, API URL, selected fields, schedules, destination sheet, and last sync checkpoints.
• No payload storage: we do not persist full ActiveCampaign payloads or your sheet contents; processing is transient for the sync.

5. Your responsibilities

• Provide accurate information and keep credentials/tokens current.
• Use the Service in compliance with applicable laws and your organization’s policies.
• Do not attempt to probe, breach, or bypass rate limits, licensing, or authentication.

6. Subscription & billing

• Plans: Monthly (R199) or Annual (R1,990, ~2 months free), same features. Prices are shown in ZAR unless otherwise specified; taxes may apply.
• Processor: payments are handled by our payment provider (e.g., Paystack/Stripe). We do not store card data.
• Renewal: subscriptions renew automatically until you cancel. You can cancel anytime; access remains through the end of the paid term.
• Refunds: refunds are at our reasonable discretion unless required by law. See Privacy for data handling and Knowledge Base for billing FAQs.

7. Scheduling & execution

• Manual sync: runs as initiated from the add-on UI.
• Scheduled sync: if enabled, our backend runs jobs on your behalf using your encrypted AC token; you may pause/disable at any time.

8. Third-party services

ActiveData relies on third-party platforms (ActiveCampaign, Google APIs, cloud hosting, and payment processors). We do not control third-party terms or availability. Your use of those services is governed by their agreements.

9. IP ownership

• Your data: you retain all rights in your Google Sheets and ActiveCampaign data.
• Our IP: we own the Service, software, documentation, and related materials. You receive a limited, revocable, non-transferable license to use the Service during your subscription.

10. Confidentiality

Each party may access the other’s confidential information (e.g., tokens, business information) only to provide or receive the Service and must protect it using reasonable safeguards. Exceptions apply for information that is public, independently developed, or rightfully obtained without duty of confidentiality.

11. Privacy & security

We implement reasonable technical and organizational measures to protect configuration and metadata (encryption in transit and at rest; token storage in a secrets manager). See Privacy Policy and Security for details, including retention and deletion.

12. Beta features

We may label certain features as “beta,” “preview,” or similar. These features are provided “as is,” may change without notice, and may be subject to additional limits.

13. Warranties & disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or meet your requirements.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.

16. Suspension & termination

• We may suspend or terminate your access for material breach, security risk, non-payment, or unlawful use.
• Upon termination, your license to use the Service ends and scheduled jobs stop. We will delete configuration and secrets per our Privacy retention policy.

17. Changes to the Service

We may modify, discontinue, or deprecate features with reasonable notice where practicable. If a change materially reduces core functionality you have paid for, you may cancel going forward.

18. Export & compliance

You must comply with applicable export, sanctions, and data protection laws when using the Service.

19. Governing law & venue

These Terms are governed by the laws of South Africa (without regard to conflict of law rules). Courts located in Johannesburg will have exclusive jurisdiction, and the parties consent to personal jurisdiction there. If you prefer a different governing law/venue, contact us before purchase.
